Terms of Service

These Terms of Service ("Terms") govern your access to cognidrive.pro and use of CogniDrive Pte. Ltd.'s enterprise AI platform, programmes and professional services. By accessing our website or engaging our services, you agree to these Terms.
1. Company

2. Services
CogniDrive provides an enterprise artificial intelligence and decision intelligence platform including machine learning operations, predictive analytics, governed automation, executive dashboards, structured programmes and platform engineering services. We are not a marketing agency, web design studio or general IT outsourcing provider.
3. Eligibility
Services are offered to business entities and professionals acting in a commercial capacity. You represent that you have authority to bind your organisation where applicable.
4. Account and access
Platform accounts require accurate registration information. You are responsible for credential security and all activity under your account. Notify us immediately of unauthorised access.
5. Acceptable use
You may not: reverse engineer the platform except as permitted by law; use services for unlawful purposes; upload malicious code; attempt unauthorised access; resell services without agreement; or use outputs to violate third-party rights or applicable regulations.
6. Intellectual property
CogniDrive retains all rights in the platform, documentation, trademarks and proprietary methodologies. Client data remains client property. Deliverables are licensed as specified in individual service agreements.
7. Fees and payment
Programme and service fees are quoted in Singapore dollars (S$) unless otherwise stated. Payment terms are specified in order confirmations or master service agreements. Late payment may incur interest and service suspension.
8. AI outcomes disclaimer
Enterprise AI and decision intelligence outcomes depend on data quality, model architecture, integration complexity and human oversight. Our platform composes predictive analytics and governed automation pipelines — individual accuracy and ROI results vary. We do not guarantee specific prediction rates, regulatory approval or uptime levels beyond expressly agreed service levels in writing.
9. Warranties
Services are provided with reasonable skill and care. Except as expressly stated in a signed agreement, services are provided "as is" without warranties of merchantability, fitness for particular purpose or uninterrupted operation.
10. Limitation of liability
To the maximum extent permitted by Singapore law, CogniDrive's aggregate liability arising from these Terms or services shall not exceed fees paid in the twelve months preceding the claim. We are not liable for indirect, consequential or punitive damages, lost profits or data loss except where exclusion is prohibited by law.
11. Indemnity
You indemnify CogniDrive against claims arising from your breach of these Terms, misuse of services or violation of third-party rights, except to the extent caused by our negligence or wilful misconduct.
12. Confidentiality
Each party shall protect the other's confidential information with reasonable care and use it only for permitted purposes. Confidentiality obligations survive termination.
13. Data protection
Personal data processing is governed by our Privacy Policy and applicable data processing agreements.
14. Termination
Either party may terminate per the applicable service agreement. We may suspend access for breach, non-payment or security risk. Upon termination, access ceases and data handling follows agreed retention schedules.
15. Governing law
These Terms are governed by the laws of the Republic of Singapore. Disputes shall be subject to the exclusive jurisdiction of the Singapore courts.
16. Changes
We may amend these Terms by posting updates on this page. Material changes take effect 14 days after posting unless you are notified otherwise.

18. Programme terms
CDX programme enrolment is subject to availability, prerequisite assessment and payment confirmation. Course materials are licensed for internal professional development only. Recording, redistribution or commercial exploitation of programme content without written consent is prohibited. CogniDrive reserves the right to substitute instructors or reschedule sessions with reasonable notice. Certificates of completion are issued upon satisfactory attendance and assessment where applicable.
19. Service level expectations
Unless expressly agreed in a signed service level agreement, CogniDrive does not guarantee specific platform uptime percentages, model accuracy rates or response times for advisory engagements. Platform availability targets, if any, are documented in enterprise licensing agreements. Support hours are Monday to Friday 09:00–18:00 Singapore Time unless extended coverage is purchased.
20. Force majeure
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control including natural disasters, pandemics, government actions, war, terrorism, telecommunications failures, power outages or civil unrest. The affected party shall notify the other promptly and use reasonable efforts to resume performance.
21. Assignment
You may not assign or transfer your rights under these Terms without CogniDrive's prior written consent. CogniDrive may assign these Terms in connection with a merger, acquisition or sale of substantially all assets with notice to you where required by law.
22. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
23. Entire agreement
These Terms, together with applicable order confirmations, programme enrolment terms, statements of work and signed master service agreements, constitute the entire agreement between you and CogniDrive regarding website use and general service engagement. In case of conflict, a signed master service agreement or statement of work prevails over these general Terms for the specific engagement.
24. Notices
Notices to CogniDrive shall be sent to [email protected] and CogniDrive Pte. Ltd., 63 Robinson Road, #14-07, Singapore 068894. Notices to you shall be sent to the email address associated with your account or enquiry. Notices are deemed received on the business day following transmission by email or on delivery if sent by registered mail.
25. Dispute resolution
Before initiating formal proceedings, parties agree to attempt good-faith resolution through negotiation for thirty calendar days after written notice of a dispute. If unresolved, either party may pursue remedies in the Singapore courts as set out in Section 15.
26. Survival
Provisions relating to intellectual property, confidentiality, limitation of liability, indemnity, governing law and dispute resolution survive termination of these Terms or any service agreement.
27. Language
These Terms are drafted in English. In the event of translation into another language, the English version prevails in case of inconsistency. All programme descriptions, service statements of work and platform documentation are provided in English unless otherwise agreed in writing with enterprise clients.
28. Waiver
Failure by CogniDrive to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorised representative of CogniDrive.
